Davis Polk advised the lead arranger and bookrunner, and the administrative agent, in connection with Amendment No. 3 to the existing revolving credit agreement, dated as of March 2, 2012, among Harsco Corporation, the lenders named therein and other parties. The Amendment included, among other amendments and modifications, a decrease of the total commitments from USD525 million to USD500 million, an extension of the maturity of the facility to 2019 (subject to repayment of Harsco's 2.7% Senior Notes due 2015) and the addition of a minimum liquidity financial covenant.
